These Terms of Service (“Terms”) are a binding agreement between you and Sporos, LLC, a Minnesota limited liability company (“Sporos,” “we,” “us”). By creating an account or using the Sporos website, applications, or services (the “Service”), you accept these Terms. If you do not agree, do not use the Service.
We may update these Terms by posting revisions on our website. Material changes will be communicated through the Service or by email at least 30 days in advance. Continued use after changes take effect constitutes acceptance.
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) to use the Service. By registering, you represent that you meet this requirement, that your registration information is truthful and complete, and that you will keep it current.
You may register using email and password or Google OAuth. You are responsible for safeguarding your credentials and for all activity under your account. You may not share your login credentials with others. Notify us immediately at contact@sporos.ai if you suspect unauthorized access. Each individual may maintain only one account unless explicitly authorized by Sporos in writing.
Sporos is an AI-powered legislative intelligence platform that aggregates public federal legislative data from Congress.gov, GovInfo.gov, House.gov, Senate.gov, and GPO.gov. The Service provides bill tracking, legislator monitoring, AI-generated summaries and chat, email digest alerts, and team collaboration tools.
AI-Generated Content. Certain content — including summaries and chat responses — is generated by artificial intelligence (currently OpenAI). AI outputs may contain errors, omissions, or outdated information and are clearly labeled. Always verify AI-generated information against official sources before relying on it.
No Legal Advice. Sporos is not a law firm. Nothing in the Service constitutes legal, lobbying, or professional advice. No attorney-client or fiduciary relationship is created. Consult a qualified professional for decisions requiring legal judgment.
Data Accuracy. Government source data may be corrected, amended, or updated retroactively. Historical content may change. Sporos is not responsible for legislative interpretation errors, gaps in source data, or retroactive corrections by government systems. You should independently verify all critical information against official sources.
Service Changes. The Service may change at any time. We may add, modify, or discontinue features (including beta or experimental features) without prior notice. Beta features are provided without warranty and may be discontinued at any time. No uptime guarantee is provided unless separately agreed to in writing.
Sporos offers a free tier and paid subscriptions. Current plans and pricing are at sporos.ai/pricing. All fees are in U.S. dollars. We will give existing subscribers at least 30 days' notice of price increases.
Billing. Paid subscriptions auto-renew monthly or annually via Stripe, Inc. Cancel anytime in your account settings; you retain access through the end of the paid period. Sporos never stores full card numbers or CVVs. You are responsible for applicable taxes.
Refunds. You may request a full refund within 14 days of your initial purchase by emailing contact@sporos.ai. After 14 days, payments are final. We may grant discretionary refunds in exceptional cases, which does not obligate future refunds.
Team features allow multiple users to share tracked items, folders, and chat sessions. Content shared with a team is visible to all team members and may persist after you leave. Team administrators manage membership via invite codes, which should be treated as confidential. Sporos is not responsible for unauthorized access resulting from codes shared with unintended parties.
You agree not to:
Use the Service for any unlawful purpose or to violate any law, regulation, or third-party right; interfere with or disrupt the Service, its infrastructure, or other users' access; attempt unauthorized access to any system, account, or data through hacking, credential stuffing, or other means; deploy bots, scrapers, or automated tools to extract data without our written permission; reverse engineer, decompile, or extract the source code, algorithms, or underlying data of the Service; use the Service or its content to develop, train, or benchmark a competing product; resell, redistribute, or share access to the Service or your login credentials without our written authorization; attempt to jailbreak, manipulate, or misuse AI features for purposes unrelated to legislative analysis; submit unlawful, defamatory, abusive, or otherwise objectionable content; or use the Service in violation of U.S. export control laws, sanctions, or trade restrictions.
User Responsibility for Content and Decisions. You are solely responsible for the legality and appropriateness of all content you input into the Service. You are solely responsible for any decisions you make or actions you take (or refrain from taking) based on information obtained through the Service, including AI-generated outputs. Sporos is an information tool; it is not your advisor, attorney, or agent. You assume full responsibility and risk for your use of the Service and its outputs.
Violations may result in immediate suspension or termination without refund, at our sole discretion, and may expose you to legal liability.
Ours. The Service — its software, design, AI-generated content, data compilations, and all proprietary materials — is owned by Sporos and protected by U.S. and international intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Service for personal or internal business purposes under these Terms. The underlying public-domain legislative data remains public; our aggregation, organization, and enhancements are proprietary.
Yours. Your queries, notes, and preferences remain yours. By submitting content, you grant Sporos a worldwide, royalty-free license to use, store, and process it solely to operate and improve the Service. You may delete your data through your account. Feedback and suggestions you provide may be used freely without obligation to you.
Our Privacy Policy governs how we collect, use, and share your data and is incorporated into these Terms by reference. Key commitments: we never sell your data, we do not serve ads, and we share data with third-party providers (Stripe, Supabase, OpenAI, Vercel, Resend, Google, PostHog) solely to operate the Service.
We send transactional emails (digest reports, tracked-item notifications, account alerts) and occasional product announcements. Every non-essential email includes an unsubscribe link. You may manage preferences in your account settings. We do not send third-party advertising or use purchased email lists. Account-critical messages (password resets, billing) cannot be opted out of. Deleting your account stops all communications immediately. All practices comply with the CAN-SPAM Act.
The Service relies on third-party providers including Stripe (payments), Supabase (database and auth), OpenAI (AI features), Vercel (hosting), Resend (email), Google (OAuth and analytics), and PostHog (product analytics). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for their acts or omissions except as required by law.
The Service may link to external websites (e.g., Congress.gov). We do not control and are not responsible for third-party content. Government data sources may contain delays, errors, or retroactive corrections that affect information on Sporos.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SPOROS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR COMPLETE.
AI-generated content may contain inaccuracies, omissions, or hallucinations. It does not constitute legal or professional advice. Legislative data may be delayed or incomplete. You must independently verify critical information against official sources. Using Sporos creates no attorney-client, fiduciary, or advisory relationship.
Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, disclaimers apply to the maximum extent permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOROS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR USE — ARISING FROM THE SERVICE, REGARDLESS OF LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
SPOROS'S AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. MULTIPLE CLAIMS DO NOT INCREASE THIS CAP.
Nothing herein limits liability for gross negligence, willful misconduct, fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded under applicable law. You acknowledge these limitations are a fundamental part of the bargain between you and Sporos.
You agree to indemnify and hold harmless Sporos, its affiliates, and their officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your violation of any law or third-party right; or (c) your willful misconduct or negligence in connection with the Service.
This indemnity does not extend to claims arising solely from Sporos's own negligence, willful misconduct, or breach of these Terms. We reserve the right to assume exclusive defense of any indemnified claim at your expense. You shall not settle any claim without our prior written consent unless the settlement unconditionally releases all indemnified parties.
By you: Delete your account or cancel your subscription at any time in account settings. Cancellation takes effect at the end of the current billing period. Upon deletion, we purge your data per our Privacy Policy.
By us: We may suspend or terminate access, with or without notice, for breach of these Terms, harmful conduct, non-payment, legal obligation, or discontinuation of the Service. Termination for cause carries no refund. If we terminate a paid account without cause, we refund the unused portion.
Sections 7–13, 15–16, and any other provisions that by nature should survive, survive termination.
These Terms are governed by the laws of the State of Minnesota, USA, without regard to conflict-of-laws principles.
Informal Resolution. Before initiating any formal proceeding, you agree to contact us at contact@sporos.ai and attempt informal resolution for at least 30 days.
Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration will take place in Minnesota or, at your election, by videoconference. The arbitrator's decision is final and enforceable in any court of competent jurisdiction. Each party bears its own costs; AAA filing fees are governed by AAA rules.
Class Action and Jury Waiver. YOU AND SPOROS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND SPOROS WAIVE THE RIGHT TO A TRIAL BY JURY. If this class action waiver is found unenforceable, the entirety of this arbitration provision shall be null and void (but the remaining Terms shall survive).
Exceptions. Either party may bring an individual action in small claims court if the claim qualifies. Either party may seek injunctive relief in state or federal courts in Minnesota for intellectual property infringement or unauthorized access to the Service. Nothing in this section prevents you from filing a complaint with a government agency.
Limitations Period. To the extent permitted by applicable law, any claim must be brought within one (1) year of accrual or it is permanently barred. This limitation does not apply where prohibited by law — including, without limitation, where applicable state or federal consumer protection statutes provide a longer period that cannot be shortened by contract.
Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Sporos regarding the Service.Severability. If any provision is held unenforceable, the remainder stays in effect.Waiver. Failure to enforce a right does not waive it.Assignment. You may not assign these Terms. Sporos may assign them freely (e.g., in a merger or acquisition).Force Majeure. Sporos is not liable for failures caused by events beyond our reasonable control.Relationship. We are independent parties; nothing here creates an agency, partnership, or employment relationship.
